Agreement and scope

These Terms and Conditions (the "Terms") are a binding agreement between you and Fylm TV, Inc., a Delaware corporation doing business as Fylm TV ("Fylm TV," "we," "us," or "our"). They govern your access to and use of FylmTV.com, Fylm TV film and festival submission processes, forms, email and mobile messaging programs, events, affiliated Fylm TV communities, and any streaming, creator, marketplace, sponsorship, monetization, or related service we make available (collectively, the "Services").

By accessing or using a Service, submitting a film, purchasing a submission or ticket, creating an account, or affirmatively accepting these Terms, you agree to them. If you do not agree, do not use the Services.

Pre-launch status. As of the effective date, Fylm TV is collecting pre-launch email sign-ups and paid, discounted, or waived film and festival submissions. Streaming accounts, viewer subscriptions, creator payouts, donations, merchandise, targeted advertising, and other platform features described below may not yet be available. Provisions concerning a future feature apply only when that feature is offered, and supplemental terms shown at launch will also apply.

Eligibility and account security

The general-audience Services are not directed to children under 13. You must be at least 13 to create a general account. If you are under the age of majority where you live, a parent or legal guardian must authorize your use. You must be at least 18, or the age of majority in your jurisdiction, to submit or license a film, enter a sponsorship or monetization arrangement, make a purchase, receive a payout, or otherwise enter a binding transaction unless a parent, guardian, or authorized representative completes the transaction.

You must provide accurate information, keep credentials confidential, use a strong and unique password, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account to the extent permitted by law. We may require identity, authority, age, or ownership verification.

Film and festival submissions

Submissions may be collected through FilmFreeway, FylmTV.com, or forms designated by Fylm TV. The rules, deadlines, categories, eligibility criteria, fees, discounts, and waivers shown for a particular submission opportunity are incorporated into these Terms. Third-party submission services may impose additional terms.

A submission fee pays for administration and review; it does not guarantee selection, screening, distribution, streaming availability, an award, platform acceptance, or a commercial relationship.

Unless a specific submission page states otherwise or applicable law requires otherwise, fees are nonrefundable after a submission is completed. Fylm TV may issue refunds or credits in its discretion.

Fylm TV may accept, reject, disqualify, reclassify, postpone, or remove a submission based on eligibility, programming, rights, safety, technical, legal, capacity, or curatorial considerations.

Submission decisions are not an endorsement of the submitter, the film, or any factual claim contained in the film.

Your content, ownership, and licenses

Ownership

You retain ownership of films, trailers, posters, stills, scripts, metadata, profiles, reviews, comments, messages, and other materials you submit (collectively, "User Content"). Except for the limited licenses below or a separate written agreement, these Terms do not transfer your copyright or ownership to Fylm TV.

Review and administration license

You grant Fylm TV a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, transcode, and display submitted User Content privately as reasonably necessary to administer the submission, verify eligibility and rights, conduct technical review, permit authorized reviewers or judges to evaluate it, prevent fraud, maintain records, and comply with law. This license does not authorize public streaming of a rejected film.

Promotional-material license

For materials you identify or approve for promotion, such as a title, logline, synopsis, poster, trailer, still, credits, creator biography, and reasonable promotional excerpt, you grant Fylm TV a non-exclusive, worldwide, royalty-free license to reproduce, edit for length or format, display, distribute, and promote those materials in connection with the Fylm TV brand, including the Fylm TV Film Festival, the Fylm TV platform, Fylm TV websites and social channels, and affiliated communities owned or operated by Fylm TV. We may allow service providers, event venues, media outlets, community platforms, and promotional partners to use the materials only to support those purposes.

Fylm TV will not publicly use a rejected film or its promotional materials merely because it was submitted, unless the submitter separately opted into that use, the materials were already published by the submitter and the use is otherwise lawful, or a separate agreement permits it.

Streaming and commercial use require separate terms

Selection for a festival, platform, or promotional opportunity does not by itself grant Fylm TV a public streaming, advertising, distribution, exclusivity, monetization, or acquisition right in the full film. Any such use will require the applicable submission rules, an affirmative platform election, or a separate written license or monetization agreement that identifies the rights, territory, term, and compensation, if any.

AI training and analysis of User Content

Fylm TV may analyze submission metadata, credits, descriptions, public promotional materials, review outcomes, and platform activity to develop and improve internal tools for film discovery, recommendations, moderation, fraud prevention, audience insights, performance analysis, valuation, and acquisition readiness. These Terms do not grant Fylm TV the right to use a full private film, screenplay, or other nonpublic creative work to train a general-purpose or externally available AI model. That use requires a separate, clear creator authorization or content license identifying the permitted material and purpose.

Your promises

You represent and warrant that you have authority to submit the User Content and grant the applicable licenses; the information and ownership credits you provide are accurate; and the authorized uses will not infringe copyright, trademark, privacy, publicity, contract, guild, union, music, talent, location, or other rights. You are responsible for obtaining and maintaining necessary permissions, releases, licenses, and residual arrangements.

Acceptable use and community conduct

You may not use the Services to:

• upload, distribute, or promote unlawful, infringing, fraudulent, deceptive, defamatory, exploitative, or nonconsensual material;
• harass, threaten, stalk, dox, impersonate, discriminate against, or expose another person to credible harm;
• submit malware, interfere with security, overload the Services, scrape or harvest data without written permission, bypass access controls, or reverse engineer protected portions of the Services except where law expressly permits;
• record, download, redistribute, rebroadcast, sell, or publicly perform protected video content without authorization, or circumvent digital rights management, geo-restrictions, watermarks, or anti-piracy controls;
• manipulate views, ratings, reviews, referrals, contests, payouts, or engagement metrics;
• use another person's identity, payment method, mobile number, or intellectual property without authority; or
• violate applicable advertising, endorsement, sweepstakes, sanctions, export-control, consumer-protection, or privacy laws.

Creators must clearly and conspicuously disclose material connections in sponsored or endorsed content using the platform's disclosure tools when available and any disclosure required by the Federal Trade Commission or other applicable authority.

Fylm TV intellectual property

The Services, excluding User Content, are owned by Fylm TV or its licensors. This includes the Fylm TV name and marks, interface, designs, compilations, software, source and object code, workflows, data models, recommendation and valuation systems, algorithms, business methods, documentation, trade secrets, and inventions, including technology covered by pending or future patent applications. No rights, title, or interest in these materials are granted except the limited right to use the Services under these Terms.

Limited viewer license, geo-restrictions, and anti-piracy

When streaming becomes available, Fylm TV grants eligible users a limited, revocable, non-exclusive, non-transferable license to access authorized content for personal, noncommercial viewing within the territories, subscription tier, device limits, and availability window shown in the Service. Content may vary by location and may become unavailable without notice because of licensing, legal, technical, or programming restrictions. You may not use a VPN or other method to misrepresent your location or evade territorial restrictions.

Fylm TV may use encryption, tokenized access, watermarking, download controls, digital rights management, fingerprinting, and other anti-piracy measures. You may not disable, defeat, or assist others in defeating those measures.

Subscriptions, billing, purchases, and refunds

If Fylm TV offers subscriptions or recurring services, the checkout page will disclose the price, billing interval, renewal terms, trial or promotional conditions, material restrictions, and cancellation method before purchase. By completing the purchase, you authorize the disclosed recurring charges until cancellation. Cancellation stops future renewal charges and ordinarily does not create a refund for a completed billing period unless the checkout terms or applicable law provide otherwise.

Payments may be processed by Stripe or another third-party processor. Fylm TV does not intend to store complete payment-card numbers. You authorize the processor and Fylm TV to process transaction, billing, tax, fraud-prevention, refund, and chargeback information. Prices and taxes may change prospectively with required notice.

Creator monetization and payouts

Fylm TV does not currently promise a payout, revenue share, minimum audience, or monetization eligibility under these Terms. When monetization becomes available, it will be governed by separate creator, license, or payout terms shown before enrollment. Those terms may address revenue calculations, platform fees, reserves, minimum thresholds, adjustments, taxes, refunds, chargebacks, disputes, and payment timing.

A monetized creator must complete identity and business verification, provide accurate tax documentation such as a Form W-9 or W-8BEN when required, and satisfy the requirements of Fylm TV's payment processor. Fylm TV or the processor may pause or withhold payouts while information is missing, inaccurate, disputed, restricted, or under legal review. Unpaid earnings will not be automatically forfeited solely because verification is incomplete.

Creators, sponsors, advertisers, and other users

Fylm TV may introduce creators, sponsors, advertisers, vendors, studios, investors, distributors, or other users, but does not guarantee that any introduction will produce a transaction. Unless Fylm TV signs the applicable written agreement as a principal, an agreement between users is solely between those users. Each party is responsible for diligence, disclosures, performance, taxes, permissions, and compliance. Fylm TV may moderate or remove campaigns and sponsored content but is not obligated to pre-approve every claim.

Offline events and ticketing

Fylm TV may organize or promote in-person events, including the Fylm TV Film Festival. Event pages and ticket checkouts may contain additional rules on admission, accessibility, age, conduct, recording, health and safety, refunds, cancellations, rescheduling, and venue requirements. Those event-specific terms control for that event. Schedules, guests, screenings, venues, and programming may change.

To the fullest extent permitted by law, attendees assume ordinary risks inherent in travel, crowds, screenings, networking, food and beverage service, and in-person participation. Nothing in these Terms waives liability that cannot lawfully be waived, including liability for gross negligence or willful misconduct.

Mobile Messaging Terms

The Fylm TV mobile messaging program provides recurring informational and marketing text messages about the Fylm TV Film Festival, platform launch, Fylm TV programs, and promotional offers. By separately opting in, you authorize Fylm TV to send automated SMS or MMS messages to the mobile number you provide. Consent is not a condition of purchase. Message frequency varies, up to 4 messages per month. Message and data rates may apply.

• Reply STOP to cancel. We will send one confirmation and then stop program messages unless you opt in again.
• Reply HELP for assistance, or email FylmTV@gmail.com.
• Carriers are not liable for delayed or undelivered messages. Delivery is subject to carrier and network availability.
• You represent that you are the subscriber or customary user of the number and will notify us before changing or transferring it.

Email communications

Fylm TV may send service, transaction, security, submission, ticket, legal, and account emails when reasonably related to your interaction with us. With consent where required, we may also send newsletters, festival announcements, platform updates, and promotional emails. You may unsubscribe from marketing emails using the link in the message. You may still receive non-marketing communications necessary to provide a requested service, complete a transaction, protect an account, or comply with law.

Third-party services

The Services may link to or integrate with third parties such as FilmFreeway, Stripe, analytics providers, cloud and messaging providers, social networks, and event or community platforms. Their services are governed by their own terms and privacy practices. Fylm TV is not responsible for a third party's independent service, content, availability, or conduct, but this does not limit any responsibility Fylm TV has under applicable law for its own selection or use of a service provider.

Service availability and changes

The Services may be modified, suspended, interrupted, delayed, or discontinued for maintenance, security, licensing, provider outages, demand, technical failure, legal requirements, or business reasons. Fylm TV does not guarantee uninterrupted or error-free operation, a particular catalog, permanent storage, or any service-level commitment unless a separate signed agreement expressly provides one. To the extent permitted by law, Fylm TV is not liable for projected or lost advertising revenue, tips, donations, sales, views, subscribers, opportunities, or goodwill caused by downtime or feature changes.

Suspension and termination

You may stop using the Services at any time and may request account deletion subject to lawful retention. Fylm TV may investigate, restrict, suspend, or terminate access, remove content, disqualify a submission, or preserve evidence when we reasonably believe there is a violation of these Terms, a rights or safety risk, fraud, abuse, legal exposure, or a request from a competent authority. When practical and appropriate, we may provide notice and an opportunity to appeal. Provisions that by their nature should survive termination, including ownership, licenses for completed uses and records, payment obligations, disclaimers, limitations, indemnity, and dispute terms, will survive.

Copyright infringement and DMCA policy

Fylm TV respects intellectual property rights and maintains a policy to terminate, in appropriate circumstances, users who are repeat infringers. A copyright owner or authorized agent may send a notice of claimed infringement containing:

1. A physical or electronic signature of the copyright owner or a person authorized to act for the owner.
2. Identification of the copyrighted work claimed to have been infringed, or a representative list if multiple works on one site are covered.
3. Identification of the material claimed to be infringing and information reasonably sufficient for Fylm TV to locate it.
4. Contact information reasonably sufficient to reach the complaining party, such as an address, telephone number, and email address.
5. A statement of good-faith belief that the disputed use is not authorized by the owner, its agent, or law.
6. A statement, under penalty of perjury, that the notice is accurate and that the complaining party is the owner or authorized to act for the owner.

A user whose material was removed may submit a counter-notice containing the user's signature; identification of the removed material and its former location; a statement under penalty of perjury that removal resulted from mistake or misidentification; and the user's name, address, telephone number, consent to the jurisdiction of the appropriate federal district court, and agreement to accept service from the original complainant.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." FYLM TV DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING. FYLM TV DOES NOT WARRANT THAT CONTENT IS ACCURATE, THAT A FILM WILL BE SELECTED OR MONETIZED, THAT A USER WILL RECEIVE FUNDING OR SPONSORSHIP, OR THAT THE SERVICES WILL BE SECURE, UNINTERRUPTED, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FYLM TV AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OPPORTUNITIES, GOODWILL, VIEWS, OR AUDIENCE, ARISING FROM THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. FYLM TV'S AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICES WILL NOT EXCEED THE GREATER OF US$100 OR THE AMOUNT YOU PAID DIRECTLY TO FYLM TV FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT. THESE LIMITS DO NOT APPLY WHERE PROHIBITED OR TO LIABILITY THAT CANNOT BE LIMITED, INCLUDING CERTAIN PERSONAL-INJURY, FRAUD, GROSS-NEGLIGENCE, OR WILLFUL-MISCONDUCT CLAIMS.

Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Fylm TV and its directors, officers, employees, contractors, and affiliates from third-party claims, damages, losses, liabilities, and reasonable costs arising from your User Content, your breach of these Terms or representations, your infringement or violation of another person's rights, or your unlawful use of the Services. Fylm TV will provide reasonable notice and may control the defense; you may not settle a claim in a manner that admits fault by or imposes obligations on Fylm TV without written consent. This section does not require a consumer to indemnify Fylm TV for Fylm TV's own unlawful conduct.

Dispute resolution and arbitration

Informal resolution

Before filing a claim, you and Fylm TV must send a written notice describing the dispute and requested relief and allow 30 days for good-faith resolution. Notices to Fylm TV may be sent to FylmTV@gmail.com and the postal address below. This requirement does not prevent a party from seeking urgent temporary relief when necessary.

Binding individual arbitration

Except for eligible small-claims matters, claims seeking protection of intellectual-property rights, and claims that cannot lawfully be arbitrated, disputes arising from these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. Hearings may occur remotely or, if in person, in Wayne County, Michigan, unless consumer law requires another location. The Federal Arbitration Act governs this arbitration provision.

No class proceedings; 30-day opt-out

You and Fylm TV waive the right to a jury trial and agree to bring claims only in an individual capacity, not as a plaintiff or class member in a class, consolidated, mass, or representative action, to the extent permitted by law. You may opt out of arbitration by sending written notice to FylmTV@gmail.com within 30 days after first accepting these Terms. Your notice must include your name, account email, and an unambiguous request to opt out. Opting out does not affect the rest of these Terms.

Governing law and courts

Michigan law governs these Terms, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs arbitration. For disputes not subject to arbitration, you and Fylm TV consent to the state and federal courts located in Wayne County, Michigan, unless applicable consumer law provides otherwise.

Changes to these Terms

Fylm TV may update these Terms. We will post the updated version and effective date and will send email or provide other additional notice when a change is material or law requires it. Updated Terms may govern continued use, existing accounts, and previously collected information after the effective date to the extent permitted by law. If you do not agree to updated Terms, you must stop using the affected Service.

General provisions

These Terms, the Privacy Policy, applicable submission rules, checkout disclosures, event terms, and any signed supplemental agreement form the agreement for the relevant Service. A signed supplemental agreement controls over these Terms for a direct conflict. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remainder will remain effective. Fylm TV's failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Fylm TV may assign them in connection with a merger, financing, reorganization, sale of assets, or operation of the Services, subject to applicable law. Headings are for convenience only.
